Terms of Service

1. Purpose
These Terms of Service ("ToS") govern the access to and use of the Muwali mobile application (the "Application"), published by Muwali Inc. ("Muwali", "we", "our").
Muwali is a community platform dedicated to the Muslim community of Montreal. It allows you to:
- Discover halal establishments (restaurants, butchers, grocery stores, mosques, bakeries, services)
- Participate in community events
- Manage an establishment as an owner
- Organize events as an organizer
2. Definitions
- User: any individual who uses the Application, including in guest mode.
- Member: User who has created an account via Firebase Authentication.
- Owner: Member who has claimed ownership of an establishment via the "Claims" system.
- Organizer: Member who has created an event on the platform.
- Buyer: Member who has purchased a ticket for a paid event.
- Connected Account: An Organizer's Stripe Connect account enabling them to receive payments.
- Platform fee: 5% commission charged by Muwali on each ticket purchase transaction.
3. Registration and Account
3.1 Account Creation
Registration is free and is done via email/password or through third-party providers (Google, Apple). The User agrees to provide accurate and up-to-date information.
3.2 Guest Mode
The Application can be used in guest mode with limited features (viewing only). Purchasing tickets, managing establishments, and organizing events require a verified account.
3.3 Email Verification
Certain features require a verified email address. Muwali reserves the right to restrict access to unverified accounts.
3.4 Account Security
The User is responsible for the confidentiality of their credentials. Any activity performed from their account is presumed to have been carried out by them.
3.5 Account Deletion
The User may request the deletion of their account at any time. Deletion results in the loss of all associated data, subject to legal retention obligations.
4. Payment Services
4.1 Payment Provider
Payment services are provided by Stripe, Inc. via Stripe Connect. By using Muwali's payment features, you also agree to Stripe's Terms of Service (stripe.com/legal/ssa) and Stripe's Privacy Policy (stripe.com/privacy).
4.2 Ticket Purchase (Buyers)
- Ticket prices are displayed in Canadian dollars (CAD), taxes included where applicable.
- A 5% platform fee is added to the base ticket price.
- Example: for a $100 CAD ticket, the Buyer pays $105 CAD ($100 + $5 in fees).
- Payment is processed by Stripe. Muwali does not store any credit card information.
4.3 Receiving Payments (Organizers)
- Organizers must activate a Stripe Connected Account to receive payments.
- The Organizer receives the base ticket price (excluding platform fees).
- Transfers to the Organizer's bank account are managed via Stripe according to Stripe's standard timelines.
- Muwali does not guarantee any specific transfer timeline; these depend on Stripe and the Organizer's banking institution.
4.4 Platform Fees
- Platform fees (5%) are non-refundable, even in the event of a ticket refund.
- Muwali reserves the right to modify the platform fee rate with 30 days' notice.
4.5 Owner Subscriptions (Coming Soon)
- Paid subscription plans (Essential at $29/month, Premium at $59/month) may be offered to establishment Owners.
- Specific terms for these subscriptions will be communicated at launch.
5. Refund Policy
5.1 Buyer Refund
Refunds are subject to the following conditions, based on the time before the event:

| Less than 24 hours | No refund |
5.2 Organizer Refund
The Organizer may issue a full refund at any time, without any time restriction. The refunded amount is deducted from the Organizer's balance.
5.3 Cancelled Event
In the event of cancellation by the Organizer or by Muwali, all Buyers receive a full refund (100% of the base price).
5.4 Platform Fees
Platform fees (5%) are never refunded, regardless of the reason for the refund.
5.5 Processing Time
Refunds are processed via Stripe. The time to receive the refund depends on the Buyer's banking institution (generally 5 to 10 business days).
6. User Obligations
6.1 Lawful Use
The User agrees to use the Application in compliance with the laws applicable in Canada and Quebec.
6.2 Content
The User is prohibited from publishing content that is:
- Illegal, defamatory, hateful, discriminatory
- Infringing on third-party rights (intellectual property, privacy)
- False or misleading
- Containing viruses or malware
- Unauthorized advertising (spam)
6.3 Organizer Obligations
The Organizer agrees to:
- Provide accurate information about their events (date, location, price, description)
- Honor tickets sold
- Handle refunds in accordance with the platform's policy
- Comply with all applicable local laws (permits, insurance, regulations)
- Keep their Stripe Connected Account in good standing
6.4 Owner Obligations
The Owner agrees to:
- Be the actual owner or authorized representative of the claimed establishment
- Provide accurate information about their establishment
- Keep their establishment information up to date
7. Acceptable Use Policy
This Acceptable Use Policy ("AUP") defines the rules of conduct on the Muwali platform. It supplements these Terms of Service and applies to all Users, Members, Organizers, and Owners.
Muwali is designed to discover and share halal establishments in Montreal, organize and participate in Muslim community events, connect the local Muslim community, and promote halal services and businesses.
7.1 Prohibited Content
It is strictly prohibited to publish, share, or promote:
- Any content illegal under Canadian and Quebec laws
- Hate speech, discriminatory speech, or speech inciting violence
- Harassment, intimidation, or threats towards other users
- Sexually explicit content
- False or misleading information about establishments or events
- Content infringing on third-party intellectual property rights
7.2 Prohibited Commercial Activities
- Using the platform to sell unauthorized products or services
- Posting unsolicited advertisements (spam)
- Creating fake events for fraudulent purposes
- Manipulating prices or creating fake reviews
- Reselling tickets acquired on the platform at a higher price
7.3 Prohibited Technical Activities
- Attempting to access other Users' accounts or data
- Using bots, scrapers, or automated tools to extract data
- Attempting to bypass the Application's security measures
- Interfering with the normal operation of the platform
- Creating multiple accounts to circumvent a suspension
7.4 Fraud and Payment System Abuse
- Making payments with fraudulent payment methods
- Requesting refunds in an abusive or repetitive manner
- Manipulating transactions via the Stripe Connect system
- Creating fictitious events to divert funds
7.5 Reporting
Any User may report content or behavior that violates the AUP via the report button in the Application or by email at support@muwali.io. Muwali commits to processing any report within 48 business hours.
7.6 Sanctions
In the event of an AUP violation, Muwali may, at its sole discretion, apply the following sanctions:

8. Intellectual Property
8.1 Muwali Content
The Application, its design, source code, logos, and brand are the exclusive property of Muwali Inc. Any unauthorized reproduction is prohibited.
8.2 User Content
By publishing content on the Application, the User grants Muwali a non-exclusive, worldwide, royalty-free, and transferable license to use, display, and distribute such content for the purpose of operating the Application.
8.3 Third-Party Images and Content
Certain images displayed in the Application may come from third-party sources and are used for informational purposes only. Muwali does not claim any ownership rights over these images. If you are the legitimate owner of an image displayed on our platform and wish to have it removed, please contact us at support@muwali.io with proof of ownership. We commit to processing removal requests within 48 business hours.
8.4 User-Uploaded Content
By uploading images or any other content to the Application (establishment photos, event images, profile pictures, etc.), the User declares and warrants that they:
Muwali acts as a host and cannot be held responsible for content uploaded by its users. In the event of a report of content infringing third-party rights, Muwali reserves the right to remove the infringing content without notice and to suspend the User's account in case of repeat offenses. Any removal request may be sent to support@muwali.io.
- Hold the necessary rights (ownership or authorization) over the uploaded content
- Do not infringe any intellectual property rights, image rights, or privacy rights of third parties
- Assume full responsibility for the content they publish
9. Limitation of Liability
9.1 Availability
Muwali strives to keep the Application available 24/7 but does not guarantee uninterrupted availability. Muwali shall not be held liable for temporary interruptions.
9.2 Third-Party Content
Muwali does not guarantee the accuracy of information provided by Users, Organizers, or Owners. Muwali acts as an intermediary platform and is not a party to transactions between Buyers and Organizers.
9.3 Events
Muwali is not responsible for the organization, conduct, or quality of events listed on the platform. The Organizer is solely responsible for their event.
9.4 Establishments
Muwali does not guarantee the halal certification of listed establishments. Information is provided for informational purposes and the responsibility lies with the establishments themselves.
10. Suspension and Termination
Muwali reserves the right to suspend or terminate any account in case of:
- Violation of these Terms of Service
- Fraudulent or suspicious activity
- Failure to meet payment obligations
- Repeated complaints from other Users
- Request from competent authorities
11. Personal Data
The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms of Service.
12. Applicable Law and Disputes
These Terms of Service are governed by the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Montreal, Quebec, Canada.
13. Modification of Terms of Service
Muwali reserves the right to modify these Terms of Service at any time. Users will be notified of modifications by notification in the Application. Continued use of the Application after notification constitutes acceptance of the modified Terms of Service.
